IMPORTANT NOTICE – PLEASE READ CAREFULLY

These Terms of Service (“Terms”) form a binding legal agreement between you (“you”, “buyer”, “user”) and HayBuy. By accessing, creating an account, submitting a request for quote (RFQ), communicating with HayBuy, accepting a quote, or submitting payment, you agree to be bound by these Terms.

DISPUTE RESOLUTION NOTICE: These Terms contain a mandatory arbitration agreement and class action waiver, which affect your legal rights. Please review Section 17 carefully.

COMMUNICATIONS NOTICE: By using the Services, you consent to receive transactional communications from HayBuy via email, SMS/text message, phone call, and electronic notifications, as described in Section 4.

1. About HayBuy

HayBuy is operated by OneRule, Inc., a Delaware corporation (“HayBuy,” “we,” “us,” or “our”). HayBuy operates an online marketplace that enables buyers and independent third-party hay suppliers (“Suppliers”) to connect, exchange information, request quotes, and coordinate transactions involving hay and forage products (the “Services”).

HayBuy is not a seller of hay. Unless expressly stated otherwise, all hay offered through the Services is sold by Suppliers, who remain the seller of record.

2. Acceptance of These Terms

You accept and agree to be bound by these Terms by any of the following actions:

  • accessing or using the Services;
  • creating or maintaining an account;
  • submitting an RFQ;
  • accepting a quote;
  • submitting payment;
  • communicating with HayBuy via phone, email, SMS, or the platform.

If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

2.1 Eligibility

You may use the Services only if you:

  • are at least eighteen (18) years of age;
  • have not previously been suspended or removed from the Services by HayBuy;
  • have the legal capacity to enter into a binding agreement; and
  • will use the Services in compliance with all applicable laws, regulations, and industry requirements.

By using the Services, you represent and warrant that you meet all eligibility requirements. HayBuy may refuse access to, suspend, or terminate the Services if eligibility requirements are not met.

3. Marketplace Role; No Agency or Endorsement

3.1 Marketplace Only

HayBuy provides a neutral marketplace and transaction facilitation services only. HayBuy does not manufacture, grow, store, inspect, test, or certify hay and does not control Supplier operations, inventory, storage, or practices.

3.2 Supplier Independence

Suppliers are independent third parties. Nothing in these Terms creates a partnership, joint venture, fiduciary relationship, or agency relationship between HayBuy and any Supplier, except for HayBuy’s limited role as a payment collection agent where applicable.

3.3 Third-Party Service Providers; No Employment Relationship

HayBuy may facilitate or coordinate services provided by third parties, including transportation, logistics, delivery, payment processing, and related services (collectively, “Third-Party Providers”). All Third-Party Providers are independent contractors and are not employees, agents, joint venturers, or partners of HayBuy. HayBuy does not control the means, methods, or manner of performance of any Third-Party Provider and is not responsible for their acts or omissions.

3.4 No Endorsement or Certification

HayBuy does not endorse, recommend, approve, or guarantee any Supplier, hay product, delivery service, or Third-Party Provider. Any photos, descriptions, test results, or other Supplier- or Third-Party-Provided information are supplied by those parties and are not verified by HayBuy.

3.5 No Agency, Partnership, or Joint Venture

Nothing in these Terms creates any partnership, joint venture, fiduciary, employment, agency, or representative relationship between buyers and HayBuy, between Suppliers and HayBuy, or between buyers and Suppliers. No party has authority to bind or act on behalf of another, except as expressly stated with respect to HayBuy’s limited role as a payment collection agent where applicable.

4. Communications and Consent

4.1 Electronic Communications

By using the Services, you consent to receive communications from HayBuy electronically, including via email, SMS/text messages, phone calls, and platform notifications. These communications may include transactional messages, order updates, delivery coordination, customer support, dispute resolution, and other service-related notices. You consent to receive these communications using automated or prerecorded technologies where permitted by law.

4.2 Message Logging, Recording, and Recordkeeping

For operational, quality assurance, training, and dispute-resolution purposes, HayBuy may log, retain, and review communications, including emails, text messages, platform messages, and phone calls, to the extent permitted by applicable law. You acknowledge that such records may be used to verify timing, content, and compliance with these Terms, including inspection windows and claim initiation requirements.

4.3 Compliance, Delivery, and Opt-Out

You represent that you have provided accurate contact information and are authorized to receive communications at the contact details you provide. Transactional and service-related communications are not marketing communications. HayBuy’s use of contact information for communications is governed by its Privacy Policy.

Delivery of communications may depend on third-party networks and service providers. HayBuy does not guarantee receipt or timely delivery of any message and is not responsible for delays, failures, filtering, or blocking by carriers, email providers, or other third parties. You are responsible for maintaining current and reachable contact information.

You may opt out of marketing or promotional messages at any time where required by law by:

  • replying “STOP” or a similar opt-out command to any SMS/text message you receive;
  • following unsubscribe instructions included in email communications; or
  • contacting HayBuy at support@haybuy.com

You acknowledge that opting out of marketing communications does not affect your receipt of transactional or service-related communications, including order updates, delivery coordination, dispute resolution, and account notices. Opting out of certain communications may impact HayBuy’s ability to provide the Services.

5. Quotes, Orders, and Contract Formation

5.1 Quotes and Availability

Supplier quotes are offers provided for informational purposes based on information available at the time and may be withdrawn, expire, or change prior to confirmation. Quotes do not guarantee availability, quantity, pricing, or delivery timing. Agricultural, seasonal, and logistical conditions may affect supply.

5.2 Conditional Order Requests

When a buyer accepts a quote and submits payment, the buyer submits a conditional order request only. Submission of payment alone does not create a binding contract for the sale of goods, and buyers should not rely on quotes or payment submission as confirmation of availability.

5.3 Order Confirmation Authority

Orders are confirmed through the HayBuy platform based on Supplier acceptance and availability. A written order confirmation issued through HayBuy constitutes notice that the Supplier has accepted the order and that a binding transaction has been formed between the buyer and the Supplier. Communications between buyers and Suppliers outside the HayBuy platform do not create or modify binding orders.

5.4 Timing of Confirmation

Order confirmation may not be immediate and depends on Supplier responsiveness, inventory verification, and logistical considerations. No delay or failure by HayBuy to issue an order confirmation constitutes acceptance of a conditional order request.

6. Payments, Pricing, Promotions, and Authorization

6.1 Payment Processing

Where applicable, HayBuy acts as a limited payment collection agent for Suppliers. Payment to HayBuy is treated as payment to the Supplier once an order is confirmed. You agree that payments will be processed through third-party payment processors selected by HayBuy and subject to those third parties’ terms and policies.

6.2 Payment Authorization

By submitting payment information, you authorize HayBuy to charge, pre-authorize, capture, and process payments and applicable fees in connection with your transactions. Authorization includes any applicable service, processing, or administrative fees. Certain third-party payment processing fees are non-refundable.

6.3 HayBuy Fees; When Earned

HayBuy’s service fees are earned upon issuance of HayBuy’s written order confirmation. Except as expressly stated in these Terms (including the Buyback Guarantee), HayBuy fees are non-refundable, even if a transaction is later canceled, delayed, or not completed due to circumstances outside HayBuy’s control.

6.4 Failed Payments and Re-Authorization

If a payment authorization fails, expires, is reversed, or is otherwise unsuccessful, HayBuy may re-attempt authorization or charge the payment method you provided. HayBuy may suspend, delay, or cancel an order if payment cannot be successfully processed and is not obligated to hold inventory or pricing during any payment issue.

6.5 Chargebacks and Payment Disputes

You agree to contact HayBuy first to resolve any payment-related questions or disputes. Improper chargebacks or payment disputes do not negate HayBuy’s entitlement to earned fees. HayBuy may recover costs associated with chargebacks or disputes and may suspend or terminate access to the Services for excessive or improper chargeback activity.

6.6 Pricing; Promotions and Discounts

Suppliers determine the base price of hay. HayBuy may offer promotions, discounts, credits, or incentives at its discretion. Promotions may be modified, suspended, or withdrawn at any time, may be subject to additional terms or conditions, and have no cash value unless expressly stated.

6.7 Changes to Fees

HayBuy reserves the right to modify its fees at any time. Any fee changes will apply only to new transactions and will not affect orders, as defined by Section 5, submitted prior to the effective date of the change. Continued use of the Services after notice of a fee change constitutes acceptance of the revised fees.

6.8 Taxes

Buyers and Suppliers are responsible for determining and complying with applicable tax obligations unless expressly stated otherwise.

7. Cancellations

7.1 Before Order Confirmation

You may cancel a conditional order request prior to order confirmation. Processing, administrative, and payment processing fees are non-refundable.

7.2 After Order Confirmation

After order confirmation, buyer cancellations for convenience are not permitted. Cancellation is allowed only if the order cannot be fulfilled due to Supplier inability, force majeure, or logistical impossibility.

Issues relating to hay quality, condition, or conformity are not cancellations and are handled exclusively under the Buyback Guarantee set forth in Section 9.

7.3 Buyer-Caused Failure to Complete Delivery

If delivery cannot be completed due to buyer action or inaction, including inaccessible delivery sites, refusal to accept delivery, failure to be present when required, or incorrect delivery instructions, such failure will be treated as a buyer-initiated cancellation. The buyer is responsible for all incurred costs, and HayBuy fees earned upon confirmation remain non-refundable.

8. Delivery, Risk of Loss, and Inspection

8.1 Delivery and Risk of Loss

Risk of loss transfers to the buyer upon delivery of the hay to your designated delivery site.

8.2 Inspection Window and Process

You are responsible for promptly inspecting delivered hay. The inspection process operates as follows:

  • The inspection window begins at the confirmed time of delivery to the buyer’s site.
  • You have five (5) calendar days from the confirmed delivery time to inspect the hay for visible or reasonably discoverable material non-conformity.
  • Within the five (5) calendar day window, you must notify HayBuy of any potential non-conformity by phone, text message, or email.
  • You accept the hay upon the earlier of the following:
    • the five (5) calendar day inspection period expires; or
    • substantial use of the hay.

For the purposes of this Agreement, “substantial use” means feeding, altering, or blending more than one (1) bale for every five (5) bales delivered.

For buyer pickup from a Supplier’s location:

  • Inspection and acceptance occur prior to loading.
  • Once hay leaves the Supplier’s premises, it is deemed accepted.

Only hay reported within the inspection window may be eligible for the Buyback Guarantee set forth in Section 9.

9. Buyback Guarantee

9.1 Scope of Buyback Guarantee

HayBuy offers a limited Buyback Guarantee for material non-conformity with the confirmed order or represented condition of the hay, as determined by HayBuy in its reasonable discretion. Covered issues may include, by way of example:

  • Incorrect hay type or format materially different from the confirmed order;
  • Materially incorrect bale size or bale count;
  • Active mold, spoilage, or excessive moisture inconsistent with proper storage or transport;
  • Foreign materials that materially impair safe use;
  • Failure to meet explicitly agreed specifications tied to the applicable lot.

9.2 Exclusions

The Buyback Guarantee does not cover:

  • Differences in animal preference, feeding behavior, or refusal to consume hay, unless the refusal is reasonably attributable to a material non-conformity covered under Section 9.1;
  • Minor cosmetic issues that do not materially impair use;
  • Normal agricultural variation;
  • Damage caused by buyer handling, unloading, or storage;
  • Weather exposure after delivery due to buyer failure to protect the hay;
  • Indirect, incidental, consequential, or special damages.

9.3 Claim Submission Requirements

To be eligible for the Buyback Guarantee, you must:

  • Initiate the claim prior to acceptance under Section 8;
  • Contact HayBuy by phone, text message, or email;
  • Provide clear photos of the affected hay;
  • Provide proof of delivery where HayBuy did not arrange transportation.

Failure to satisfy these requirements will result in denial of the claim.

9.4 Resolution and Remedies

Approved Buyback Guarantee claims will be resolved at HayBuy’s discretion, generally in the following order of preference:

  • Partial credit or refund for affected portions;
  • Replacement hay, subject to availability;
  • Full buyback and refund in limited cases.

All determinations regarding eligibility, remedy, disposition of hay, and allocation of costs are made by HayBuy in its sole discretion. Notwithstanding the foregoing, HayBuy may, in its sole discretion, offer goodwill accommodations that do not constitute an admission of liability or modification of these Terms.

9.5 Exclusive Remedy

The Buyback Guarantee is the sole and exclusive remedy available to buyers against HayBuy for claims arising from non-conforming hay.

10. Prohibited Conduct

You agree not to engage in any conduct that interferes with, abuses, or circumvents the Services or HayBuy’s business. Prohibited conduct includes, without limitation:

  • Using the Services for any unlawful, fraudulent, or deceptive purpose;
  • Misrepresenting your identity, authority, or intent when using the Services;
  • Circumventing or attempting to circumvent HayBuy’s platform, including by contacting Suppliers or buyers directly to avoid fees or platform processes;
  • Using the Services to develop, operate, or support a competing marketplace, platform, or service, or to create derivative products based on the Services;
  • Scraping, harvesting, extracting, or otherwise collecting data from the Services, including pricing, listings, supplier information, or buyer information, whether manually or through automated means;
  • Using any data or information obtained through the Services for purposes outside the intended use of the platform, including for competitive analysis, resale, redistribution, or solicitation;
  • Using bots, spiders, crawlers, scripts, or other automated tools to access, monitor, copy, or interact with the Services;
  • Reverse engineering, decompiling, disassembling, or attempting to derive the source code, algorithms, or underlying structure of the Services;
  • Interfering with or disrupting the integrity, performance, or security of the Services;
  • Uploading or transmitting viruses, malware, or other harmful code;
  • Engaging in abusive, harassing, threatening, or inappropriate behavior toward HayBuy personnel, Suppliers, carriers, or other users;
  • Submitting false, misleading, or bad-faith RFQs, orders, claims, or payment disputes;
  • Interfering with, influencing, or attempting to bypass HayBuy’s handling of disputes, claims, investigations, or enforcement actions.

HayBuy may investigate violations of this Section and may suspend or terminate access to the Services, deny transactions, or pursue other remedies as permitted by law.

11. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.

  • You are responsible for all actions taken through your account, whether authorized by you or not, including actions taken by employees, agents, contractors, or other representatives.
  • Any sharing of account credentials or delegation of access is done at your own risk, and HayBuy is not responsible for internal misuse, errors, or unauthorized actions arising from shared access.

You must promptly notify HayBuy of any suspected unauthorized use of your account.

Third-Party Authentication.HayBuy may allow you to create or access your account using third-party authentication services (such as Google, Facebook, X, or similar providers) through OAuth or comparable technologies. By using such authentication methods, you authorize HayBuy to receive certain account information from the applicable provider as permitted by that provider’s terms and privacy settings.

12. Modification, Suspension and Termination

12.1 Modification

HayBuy may modify these Terms at any time. Continued use of the Services after any modification constitutes acceptance of the updated Terms.

12.2 Suspension

HayBuy may suspend, restrict, or terminate access to the Services at any time, with or without notice, and for any reason or no reason, in HayBuy’s sole discretion, including for risk management, fraud prevention, misuse, or operational reasons.

12.3 Effect of Termination

Upon suspension or termination of access:

  • any outstanding payment obligations remain owed;
  • HayBuy fees earned prior to suspension or termination remain non-refundable;
  • any pending transactions may be completed or canceled at HayBuy’s discretion.

The following provisions survive termination: Payments and Fees, Buyback Guarantee (including limitations and exclusions), Prohibited Conduct, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, Governing Law, and any other provisions which by their nature should survive.

13. Intellectual Property and Content

The Services, including the website, platform, software, workflows, interfaces, algorithms, databases, designs, text, graphics, images, and all related technology and content (excluding Supplier-provided materials), are owned by or licensed to HayBuy (operated by OneRule, Inc.) and are protected by intellectual property and other applicable laws. Except as expressly provided in these Terms, no rights or licenses are granted to you by implication or otherwise.

13.1 Limited License

Subject to your compliance with these Terms, HayBuy grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your internal, lawful use in connection with permitted transactions on the platform. You may not copy, modify, distribute, sell, lease, reverse engineer, or otherwise exploit the Services except as expressly permitted by these Terms.

13.2 Reservation of Rights

All rights not expressly granted to you are reserved by HayBuy. Use of the Services does not confer any ownership interest or intellectual property rights in the Services or any portion thereof.

13.3 Feedback

If you provide HayBuy with any feedback, suggestions, ideas, improvements, or recommendations regarding the Services (“Feedback”), you acknowledge and agree that such Feedback is provided voluntarily, is not confidential, and may be used, disclosed, incorporated, or otherwise exploited by HayBuy for any purpose, without restriction, compensation, attribution, or obligation to you. HayBuy is under no obligation to use any Feedback.

14. Disclaimer of Warranties

14.1 Services and Goods Provided “AS IS”

The Services, the platform, and any goods facilitated through the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. HayBuy makes no representations or warranties regarding the Services or any hay purchased through the platform except as expressly set forth in these Terms.

14.2 Disclaimer of Implied Warranties

To the maximum extent permitted by applicable law, HayBuy disclaims all implied warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade.

14.3 No Warranties Regarding Hay or Animal Use

HayBuy does not grow, produce, store, transport, or handle hay and makes no warranties regarding the quality, condition, moisture content, mold-free status, nutritional value, RFV, protein content, or suitability of any hay for any particular use or for any specific animal.

Without limiting the foregoing, HayBuy makes no warranties or representations regarding animal health, performance, illness, injury, or death, including with respect to companion animals such as horses or other livestock. Buyers assume all risk associated with the use and feeding of hay.

14.4 Supplier-Provided Information

Any photos, descriptions, test results, storage representations, or other information regarding hay are provided by Suppliers or third parties. HayBuy does not independently verify such information and does not warrant its accuracy or completeness. Any reliance on such information is at the buyer’s own risk.

14.5 Buyback Guarantee

The Buyback Guarantee described in Section 9 is a limited, contractual remedy and does not create or constitute a warranty, express or implied, guarantee of performance, or assurance of suitability for any particular animal or feeding program. Except as expressly provided in Section 9, HayBuy disclaims all warranties and remedies.

14.6 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties. To the extent such laws apply, the disclaimers in this section apply to the maximum extent permitted by law.

15. Limitation of Liability

15.1 Limitation of Damages

To the maximum extent permitted by applicable law, in no event shall HayBuy, OneRule, Inc., or their affiliates, officers, directors, employees, agents, contractors, or service providers (collectively, the “HayBuy Parties”) be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost business, loss of use, loss of data, procurement of substitute goods, or diminution in value, even if advised of the possibility of such damages.

This limitation applies regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, warranty, or any other legal theory.

15.2 Cap on Direct Damages

To the maximum extent permitted by law, the aggregate liability of the HayBuy Parties for any and all claims arising out of or relating to the Services, any transaction, or these Terms shall not exceed the lesser of:

  • (A) The total amount paid by the buyer to HayBuy for the specific transaction giving rise to the claim; or
  • (B) Five thousand dollars (US $5,000).

This cap applies in the aggregate and not per claim.

15.3 Hay and Animal-Related Risks

Without limiting the foregoing, the HayBuy Parties shall have no liability for any claims relating to:

  • Animal illness, injury, death, or performance;
  • The use, feeding, storage, handling, or transport of hay;
  • Alleged contamination, spoilage, mold, moisture, or nutritional deficiencies;
  • Any actions or omissions of Suppliers, carriers, or other third parties.

Buyers assume all risks associated with the purchase and use of hay.

15.4 Exclusive Remedy

The Buyback Guarantee set forth in Section 9 is the sole and exclusive remedy available to buyers against HayBuy for claims relating to non-conforming hay. Except as expressly provided in Section 9, no other remedies are available. Any goodwill accommodations offered by HayBuy shall not expand or modify the limitations of liability set forth in this Section 15.

15.5 Third-Party Services

The HayBuy Parties shall not be liable for the acts or omissions of third-party service providers, including without limitation payment processors, carriers, logistics providers, or communication service providers, even if such services are arranged or coordinated through the platform.

15.6 Basis of the Bargain

You acknowledge that the limitations of liability set forth in this section are a fundamental basis of the bargain between you and HayBuy and that HayBuy would not provide the Services without such limitations.

15.7 Jurisdictional Limitations

Some jurisdictions do not allow the limitation or exclusion of certain damages. To the extent such laws apply, the limitations in this section apply to the maximum extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless HayBuy, OneRule, Inc., and their affiliates, officers, directors, employees, agents, and service providers (collectively, the “HayBuy Parties”) from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • your breach of these Terms or violation of applicable law;
  • your misuse of the Services or circumvention of platform processes;
  • any dispute between you and a Supplier, carrier, or other third party, including disputes between buyers and suppliers;
  • any content, information, or materials you submit, upload, transmit, or otherwise make available through the Services;
  • your violation of any third-party rights, including intellectual property, publicity, confidentiality, or privacy rights;
  • your actions or omissions in connection with a transaction facilitated through the Services.

HayBuy will provide reasonable notice of any claim subject to indemnification and may participate in the defense at its own expense. HayBuy reserves the right to assume control of the defense and settlement of any claim subject to indemnification, provided that no settlement imposing non-monetary obligations on a HayBuy Party may be entered without HayBuy’s prior written consent.

This Section 16 applies to the maximum extent permitted by law and survives termination of these Terms.

17. Dispute Resolution; Arbitration

17.1 Agreement to Arbitrate

Except as expressly provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any transaction facilitated through the Services shall be resolved by final and binding arbitration.

17.2 Arbitration Location and Manner

The arbitration shall take place in Overland Park, Kansas. The arbitration may be conducted in person, remotely, or based on written submissions, as determined by the arbitrator, taking into account efficiency and proportionality.

17.3 Scope and Authority of Arbitrator

The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement and these Terms.

17.4 Class Action Waiver

All disputes must be brought on an individual basis.

You agree that no arbitration or proceeding shall be brought as a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

17.5 Injunctive and Equitable Relief

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent or address:

  • unauthorized access to or misuse of the Services;
  • violations of intellectual property, confidentiality, or data-use restrictions; or
  • circumvention of platform protections.

Such relief shall not be deemed incompatible with, or a waiver of, the agreement to arbitrate.

17.6 Waiver of Jury Trial

To the extent any dispute proceeds in court rather than arbitration, each party knowingly and irrevocably waives any right to a jury trial.

17.7 Severability of Arbitration Provision

If any portion of this Section 17 is found unenforceable, such portion shall be severed, and the remainder shall be enforced to the fullest extent permitted by law.

18. Privacy Policy

HayBuy’s collection, use, and disclosure of personal information are governed by its Privacy Policy, which is incorporated into these Terms by reference and forms part of the agreement between you and HayBuy.

19. Governing Law

These Terms, the Services, and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any transaction facilitated through the Services shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict-of-laws principles.

To the extent any dispute is not subject to arbitration under Section 17, or where a party seeks injunctive or equitable relief as permitted by these Terms, the parties agree that such action shall be brought exclusively in the state or federal courts located in Overland Park, Kansas, and each party submits to the personal jurisdiction and venue of such courts.

20. Miscellaneous

20.1 Entire Agreement

These Terms, together with any policies or documents expressly incorporated by reference (including the Privacy Policy), constitute the entire agreement between you and HayBuy regarding the Services and supersede all prior or contemporaneous agreements, communications, negotiations, or representations, whether written or oral.

20.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

20.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Any waiver must be expressly stated in writing to be effective. HayBuy’s failure to enforce any right or provision shall not constitute a waiver.

20.4 Assignment

You may not assign or transfer these Terms, in whole or in part, without HayBuy’s prior written consent. HayBuy may freely assign or transfer these Terms, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, without restriction.

20.5 Independent Contractors; No Agency

Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and HayBuy. You act solely as an independent party, and neither party has authority to bind the other.

20.6 Force Majeure

HayBuy shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, weather events, fires, floods, labor disputes, supply shortages, transportation disruptions, power or network failures, governmental actions, pandemics, or other force majeure events.

20.7 Notices

Any notice required or permitted under these Terms shall be deemed given when delivered by one of the following methods:

  • by email to the address associated with your account;
  • by posting within the Services; or
  • by other electronic means reasonably calculated to provide notice.

20.8 Interpretation

Section headings are for convenience only and shall not affect interpretation. The words “including” and “include” mean “including without limitation.”

20.9 Survival

Any provisions which by their nature should survive termination or expiration of these Terms shall survive, including but not limited to provisions relating to payments, intellectual property, disclaimers of warranties, limitation of liability, indemnification, dispute resolution, governing law, and this Miscellaneous section.
